1. Definitions

"Company", "we", "us", or "our" refers to Kunming Jin'ang Technology Co., Ltd.

"Services" refers to all services provided by the Company, including but not limited to computer systems design, systems integration, IT security consulting, cloud infrastructure solutions, technical consulting, and research and development services.

"Site" refers to the website located at www.jinang.shop and all associated subdomains and pages.

"User", "you", or "your" refers to any individual or entity accessing or using our Site or Services.

2. Acceptance of Terms

By accessing our Site or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are accessing or using our Services on behalf of a legal entity, you represent that you have the authority to bind that entity to these Terms. We may update these Terms from time to time; continued use after changes constitutes acceptance of the new Terms.

3. Services Description

Jin'ang Tech provides professional services in the field of computer systems design and related technical services, including but not limited to:

• Systems architecture planning and design
• Computer systems integration and deployment
• IT security assessment, architecture, and compliance
• Cloud infrastructure design, migration, and management
• Technical and strategic consulting
• Research and development in emerging technologies

The scope, deliverables, timelines, and fees for specific services will be defined in separate service agreements, statements of work, or proposals executed between the Company and the client.

4. Intellectual Property Rights

4.1 Company Intellectual Property

All content on our Site, including but not limited to text, graphics, logos, icons, images, audio clips, software, documentation, and the overall design and arrangement, is the property of Jin'ang Tech or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or publicly display any content from our Site without our prior written consent.

4.2 Deliverables

Upon full payment for services, clients receive ownership of custom deliverables expressly identified in the applicable service agreement. Jin'ang Tech retains the right to use general methodologies, techniques, and knowledge acquired during the provision of services.

4.3 Feedback

Any suggestions, ideas, or feedback you provide regarding our Services may be used by us without obligation of compensation or confidentiality, unless otherwise agreed in writing.

5. User Obligations

You agree to:

• Provide accurate, current, and complete information when using our Site or engaging our Services.
• Use our Site and Services only for lawful purposes and in accordance with these Terms.
• Not attempt to gain unauthorized access to any part of our Site, systems, or networks.
• Not interfere with or disrupt the operation of our Site or the servers and networks connected to it.

6. Confidentiality

This obligation survives the termination of any agreement between the parties. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without restriction.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• Jin'ang Tech and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Site or Services.
• Our total liability for any claim arising from these Terms or our Services shall not exceed the total amount paid by you for the specific service giving rise to the claim.
• We are not responsible for any damages resulting from service interruptions, data loss, or system failures beyond our reasonable control.

8. Disclaimer of Warranties

Our Site and Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. We disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that our Site will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

9. Indemnification

You agree to indemnify, defend, and hold harmless Jin'ang Tech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our Site or Services in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any content or information you submit through our Site.

10. Payment Terms

Fees for services are as set forth in the applicable service agreement, proposal, or invoice. Unless otherwise specified, invoices are due within thirty (30) days of the invoice date. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law. We reserve the right to suspend services for accounts with outstanding balances beyond the payment terms.

11. Termination

Either party may terminate a service agreement in accordance with the termination provisions set forth in that agreement. We reserve the right to suspend or terminate your access to our Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or our interests. Upon termination, your right to use the Site ceases immediately.

12. Third-Party Links and Resources

Our Site may contain links to third-party websites, services, or resources that are not owned or controlled by Jin'ang Tech. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. Your interactions with such third parties are solely between you and the third party.

13. Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders, pandemics, strikes, telecommunications failures, or internet service disruptions. The affected party shall provide prompt notice and use reasonable efforts to resume performance as soon as practicable.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any dispute arising out of or relating to these Terms or our Services shall first be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in Kunming, Yunnan Province, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration decision shall be final and binding on both parties.

15. Entire Agreement

These Terms, together with any applicable service agreements, statements of work, and proposals referenced herein, constitute the entire agreement between you and Jin'ang Tech regarding your use of our Site and Services, superseding any prior agreements or understandings.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
